Services: As part of this Agreement, you agree to subscribe to these Services, and UCeasy agrees to provide these Services to you under
the terms of this Agreement. You can subscribe to Additional Services from time to time under the terms of this Agreement. You can use Services and Equipment (as defined below) for legitimate business purposes only. At all times, you will use the Services and Equipment in
accordance with this Agreement and with all applicable laws.
Rates and fees: You are responsible for all services you subscribe to, and you agree to pay the rates and fees in the manner described in this Agreement, including network access fees, monthly service charges, recovery fees, airtime, data transfer fees, minimum commitment fees, long
distance charges and any other costs incurred in the use of your Services, regardless of who made use of these Services. You are responsible for
the costs of any fraudulently usage of your Equipment or Services by a third party. UCeasy reserves the right to change rates for its Services or any other Services.
Billing and payments: Unless otherwise stated, you will receive a monthly bill. Usage-based Services will be billed at the end of the month, and
fixed fees will be charged in advance. UCeasy may, however, charge you for up to 12 months from the date the fee was incurred. In
addition to rates and fees, your invoices will include, and you will be responsible for: any applicable provincial and federal taxes, interest on
outstanding amounts and any administrative surcharges charged for any NSF payements. The amounts charged are due on the specified date on
the invoice, with no deduction or compensation fee. Interest will be calculated on all outstanding amounts at the rate of 3% per month (42.58% per year on a compound basis) or any other rates that may be set by UCeasy from time to time. An administrative surcharge applies to returned
checks. You will be responsible for all expenses incurred by UCeasy in order to collect all unpaid invoices, including legal fees.
You must report to UCeasy in writing within (60) days of the billing date, any dispute or any related requests. Failure to do so will be
considered an acceptance of the contents of the invoice and, if so, you will lose any right to challenge any portion of the invoice.
Limitation of liability: UCeasy provides you with services and equipment “as is” and repudiates any guarantee, whether express, implicit or statutory, including, but not limited to, any guarantee of market quality, adaptation to a particular use, title to ownership, peaceful enjoyment, precision or system integration. There is no guarantee that Services and Equipment will operate without error and uninterrupted.
UCeasy will not be liable for any damage, including actual, direct, indirect, incidental, special, consecutive, punitive or loss-related damages
resulting from acts of trust, or any loss of profit of any kind, even if such damages were foreseeable, arising from the provision of the Services or
in any way arising from that Agreement. Your sole remedy and UCeasy’s sole liability, if liability there is, for damage caused in any way, will not exceed the amount of recurring fixed costs you will have paid for the service assigned for the month prior to the alleged event causing such
damage. Any legal action arising from this Agreement must be taken within one (1) year of the occurrence of the cause of the action. For the
purposes of this article, UCeasy includes its executives, directors, employees, agents and affiliates.
Force majeure: UCeasy will not be responsible for any failure or delay in delivery as long as it is caused by a situation beyond its
reasonable control, including, but not limited to, labor disputes, fires or other accidents, weather or natural disasters, damage to facilities or the
conduct of third parties.
INFORMATION ABOUT 9-1-1.
BY ACTIVATING AND PAYING FOR THE SERVICE, YOU RECOGNIZE AND ACCEPT THE LIMITS OF EXCEL TELECOM’S 9-1-1 CALL
SERIVCE AND YOU UNDERSTAND THE DIFFERENCES BETWEEN SUCH A SERVICE AND A TRADITIONAL TELEPHONE SERVICE OR
E9-1-1 CALLS.
Once 9-1-1 is activated, all calls from the customer using 9-1-1 service will be connected to an intermediary (such as a third-party call center), who in turn will transfer the call to the public safety call center or emergency service agency concerned. Depending on the information provided by
the client, the intermediary will direct your call to the relevant emergency service agency or a public safety call center.
Customer grants us to provide your name and address to third parties associated with the 9-1-1 service, including, without limitation, call
dispatchers, call centers and local emergency centers.
Notice to all users: In order to optimize the safety of the people concerned, you are required to share these major restrictions with all potential users of your UCeasy services (including your employees, officers and officers of your company and visitors to your business, office or
residence, your guests and any third parties who may be present at the physical location at which you use the Service) of these important
differences and limits of The 9-1-1 Service compared to the traditional 9-1-1 Service or E9-1-1. The documents that accompany each Device you
purchase will include a sticker regarding the unavailability of 9-1-1 or E9-1-1 (the “Sticker 9-1-1”). You must, according to the instructions that accompany each Device, place the Sticker 9-1-1 on each Device you use with your Service. If you have not received a 9-1-1 Sticker with your Device, or if you would like any additional 9-1-1 stickers, please contact UCeasy’s customer service department.
